Terms of Service

These Terms govern your use of the Kargoo Mac app, the Kargoo iPhone companion app (beta), and the kargoo.com website (together, the "Services"). By installing, downloading, or using the Services, you agree to these Terms. If you don't agree, don't use the Services.

This is a contract written in plain English. If something is ambiguous, the spirit of the document is: we made an app to record your meetings privately, you pay for it (or don't), please record people only when it's legal where you are, and don't try to break our stuff.

1. Who's who

"Kargoo," "we," "us," and "our" refer to Kargoo Inc., a Delaware corporation with its principal place of business at 548 Market St., PMB 88742, San Francisco, CA 94104, USA. "You" and "your" refer to you, the person using the Services. If you're using Kargoo on behalf of an organization, "you" includes that organization, and you represent that you have authority to bind it.

2. License to use Kargoo

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Kargoo apps on Apple devices that you own or control, for your personal or internal business use, subject to these Terms. Pro features unlock when you have an active Pro subscription.

You may not: copy or redistribute the Kargoo apps; modify, decompile, or reverse-engineer them (except where local law prohibits us from preventing this); rent, lease, sell, or sublicense them; remove copyright notices; or use them to build a competing product.

The Kargoo apps include open-source components (notably OpenAI Whisper, Sparkle, and others) under their own licenses. Those licenses are listed in About → Acknowledgements inside the app. Nothing in these Terms restricts your rights under those open-source licenses.

3. Recording & consent — your responsibility

This is the part that matters. Recording laws vary wildly by jurisdiction. In some places (most US states, most of Europe with caveats) recording a conversation you're a party to is legal. In others (California, Pennsylvania, Florida, Maryland, Washington — and many more globally) you must obtain consent from all parties before recording.

Kargoo doesn't ask for consent on your behalf. It also doesn't tell the people on the other end of the call that you're recording. That's your job. Before you record any meeting, phone call, or in-person conversation, you are responsible for:

  • Knowing the laws of your jurisdiction and every jurisdiction the other parties are in.
  • Obtaining whatever consent (verbal, written, one-party, all-party) those laws require.
  • Complying with your employer's policies, your client agreements, and any NDAs.
  • Not recording conversations where there's a reasonable expectation of privacy and you don't have consent (e.g. medical visits, therapy, attorney-client meetings without permission).

If you record someone illegally, that's between you and the law. Kargoo is not a party to your recording decisions and accepts no liability for them. We strongly suggest the spoken script: "I'm recording this conversation for note-taking — is that OK with everyone?" — every time, every meeting.

4. App instance & accounts

Kargoo does not require an account to download or use the app. The free trial and subscription status are tied to a unique identifier generated on your Mac at first launch (the "app instance ID"), stored in your Mac's Keychain. This means your trial and access status persist across app reinstalls on the same machine.

Optionally, you may create a Kargoo account (email-based) to link a paid subscription across multiple Macs or to restore a subscription after replacing your device. An account is not required for the free trial or for using any feature of the app.

If you do create an account: you are responsible for keeping your credentials secure. If you suspect unauthorized access, email hello@kargoo.com immediately.

One Pro license covers the Mac on which it was purchased. You may use a Kargoo account to extend access to additional Macs you personally own or control. Please do not share a single license across multiple people.

5. Subscriptions, billing, refunds

5.1 Plans

Free starts with a 14-day trial tied to your app instance, with the limits listed on the pricing page. Pro is billed monthly via Stripe. Prices are listed at checkout in your local currency where supported.

5.2 Subscription identity

Your subscription is tracked at the app instance level (per Mac installation), not solely at the email level. If you reinstall the app on the same Mac, your subscription status is restored automatically. If you move to a new Mac, sign in with your Kargoo account to restore access.

5.3 Auto-renewal

Pro subscriptions renew automatically at the end of each billing cycle until you cancel. You can cancel any time in Settings → Account → Manage subscription. Cancellation takes effect at the end of the current period — you keep Pro until then. A 7-day grace period applies if a renewal payment fails.

5.4 Refunds

We offer a 14-day money-back guarantee for the first time you subscribe to Pro. Email hello@kargoo.com within 14 days and we'll refund the full amount, no questions asked. After 14 days, refunds are at our discretion. We don't pro-rate cancellations within a billing cycle.

5.5 Price changes

We'll notify you 30 days before any price increase takes effect. You can cancel before then if you don't want to pay the new price.

5.6 Taxes

Prices listed exclude applicable VAT, GST, and sales tax, which we collect where required by law and remit to the relevant authorities.

6. Free trials

The free 14-day trial begins the first time the app is launched on a given Mac. The trial is tied to the app instance on that machine — it is not transferable to another device and does not reset on reinstall. No credit card or account is required to start the trial. When the trial ends, Pro features are locked until a subscription is purchased. Recordings, transcripts, and summaries already created remain fully accessible.

7. Acceptable use

You agree not to use Kargoo to:

  • Record any conversation in violation of applicable law (see Section 3).
  • Record any person where doing so would constitute harassment, stalking, or invasion of privacy.
  • Reverse-engineer, decompile, or attempt to extract our models, except where local law prohibits us from preventing this.
  • Probe, scan, or test the vulnerability of the Services or circumvent any access controls.
  • Interfere with or disrupt the Services or other users.
  • Use automated means to access the Services in a way that puts unreasonable load on our infrastructure.
  • Use the Services to violate any other person's intellectual property rights.
  • Build a competing transcription/summarization product using Kargoo's outputs.

We may suspend or terminate accounts that violate these rules (see Section 12).

8. Intellectual property

The Kargoo apps, the kargoo.com website, the Kargoo name, the Kargoo wordmark, and the Kargoo glyph are owned by Kargoo Inc. and its licensors. We grant you a license to use them (Section 2); we don't transfer ownership.

Open-source components keep their original licenses. Audio models are licensed from their authors under their respective terms; we comply with those terms.

9. Your content stays yours

Audio recordings you make, transcripts Kargoo generates from them, and summaries Kargoo writes about them are yours. You own them. We don't claim any rights to them, don't read them, don't train models on them, and don't sell them. Read the Privacy Statement for the technical reason: they never leave your Mac.

Feedback you submit through the in-app feedback form (text, redacted technical attributes, optional screenshots) — we use that internally to improve Kargoo. By submitting feedback, you grant us a non-exclusive, royalty-free, worldwide license to use it for that purpose. We won't publish your feedback verbatim without permission.

10. Updates & changes

We push updates through Sparkle. Most are optional and we tell you what's in them. Critical security updates may be auto-installed; you can disable auto-update in Settings → Updates.

We may change these Terms. If the changes are material, we'll show you a banner inside the app on next launch, and we'll email Pro users. Continued use of the Services after the effective date of new Terms constitutes acceptance.

We may add, change, or remove features. We'll try not to remove features people are using; if we have to, we'll give 60 days' notice and a way to export your data (which, again, is already on your Mac).

11. Beta features

Some features are released as "beta" — including, currently, the iPhone companion app. Beta features are provided as-is, may be unstable, may change without notice, and may be removed. Don't rely on them for anything mission-critical. Your feedback is welcome.

12. Termination

You can stop using Kargoo any time. Delete the app, delete your account, delete the Documents/Kargoo folder. We don't keep dark copies — there's nothing to delete on our end except your account record (Pro only).

We can terminate or suspend your access if you materially breach these Terms (especially Section 3 or 7), if required by law, or if continuing to provide the Services would expose us to legal risk. We'll give you reasonable notice unless the breach is severe or notice is impractical. If we terminate without cause and you have an active paid subscription, we'll refund the unused portion.

13. Disclaimers & warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE — INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Specifically: we don't warrant that transcripts will be perfectly accurate, that summaries will capture every nuance, that speaker recognition will identify every speaker correctly, that the app will be uninterrupted or error-free, or that defects will be corrected. Transcription is a probabilistic AI task; review the output before relying on it for anything important.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KARGOO INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF: (a) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (b) USD $100.

Some jurisdictions don't allow these exclusions or limitations. In those jurisdictions, our liability is limited to the smallest extent allowed.

15. Indemnification

You will defend, indemnify, and hold harmless Kargoo Inc. from any third-party claim, demand, loss, damage, cost, liability, or expense (including reasonable legal fees) arising out of: (a) your violation of these Terms, especially Section 3 (Recording & consent) and Section 7 (Acceptable use); (b) your violation of any law or third-party right in connection with your use of the Services; or (c) any content or recording you create using the Services.

16. Governing law & disputes

These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in San Francisco, California. Either party may seek injunctive relief in court for breach of intellectual-property rights or Section 7 (Acceptable use) without arbitrating first. You and Kargoo agree to bring claims only in an individual capacity, not as a class member.

If you live in the EU, UK, EEA, or Switzerland, the above arbitration clause does not apply. Disputes will be resolved by the competent courts of your country of residence, and you retain all rights granted to consumers under local mandatory law.

17. General

  • Entire agreement. These Terms (with the Privacy Statement) are the entire agreement between you and Kargoo regarding the Services and supersede prior agreements.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of substantially all our assets.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Force majeure. We aren't liable for delays or failures caused by events outside our reasonable control.
  • Headings. Section headings are for convenience only.
  • Notices. We send legal notices to the email address on your account or the email you used to sign up. You send legal notices to legal@kargoo.com, with a copy to our postal address below.
